1. Introduction and Scope

These Terms & Conditions (the “Terms”) govern access to and use of The Naked Truth, an international subscription-based content distribution platform operated by The Naked Truth SHPK, registered in the Republic of Albania, NIPT M61713051L.

By accessing the Platform, creating an account, viewing free previews, subscribing, paying, publishing, monetizing content or otherwise interacting with the Platform, you accept these Terms and agree to comply with them.

These Terms apply to all users, including visitors, registered free users, subscribers, creators, partners, legal entities and any other person or entity using the Platform.

• The Privacy Policy, Cookie Policy, Refund & Cancellation Policy, Payment & Payout Policy, Content Policy, Copyright Notice-and-Takedown Policy, Creator Partner Program Agreement and Creator Verification & Payout Form form part of the contractual framework where applicable.
• The Naked Truth is the public brand and Platform name. The operator is The Naked Truth SHPK.
• If a specific creator agreement or payment policy conflicts with these Terms on creator monetization, the more specific document prevails unless applicable law requires otherwise.

2. Definitions

• “Platform” means the website, services, interfaces, profiles, payment flows, distribution systems, software and technical infrastructure made available under the brand The Naked Truth.
• “User” means any visitor, registered user, subscriber, creator or other person accessing the Platform.
• “Subscriber” means a user who pays for access to one or more Profiles, packages, digital content or subscription plans.
• “Creator” means a natural person, legal entity, partner or authorized Profile admitted to publish or monetize content on the Platform.
• “Profile” means a digital space within the Platform where content is organized, displayed, monetized or made available to users and/or subscribers.
• “Creator Content” means any video, audio, text, image, photograph, graphic, thumbnail, title, metadata, archive, post, episode, document or other material uploaded, published or made available by a Creator.
• “Net Shareable Value” means the amount remaining from a payment after processor fees, taxes, refunds, chargebacks, reversals, commissions, reserves and other deductible amounts have been applied.

3. User Categories and Eligibility

The Platform may include free users, paying subscribers, creators, partners, administrators and other permitted categories of users.

Users must be at least 13 years old, or the minimum age required by applicable local law if higher. Users below the age of majority may use the Platform only with appropriate parental or legal guardian involvement where required by law.

Creators, persons receiving payments, and persons entering financial or contractual relationships with The Naked Truth must be at least 18 years old or have full legal capacity under the applicable law.

If you use the Platform on behalf of a company, organization or other legal entity, you confirm that you are authorized to bind that entity to these Terms and applicable Platform documents.

4. Account Registration and Security

Certain functions may require account registration through email, password, Google, Facebook/Meta or other approved login methods. You must provide accurate, complete and up-to-date information.

You are responsible for protecting your login credentials and for all activity under your account, except where applicable law provides otherwise. You must notify The Naked Truth without undue delay if you suspect unauthorized access, loss of credentials or misuse of your account.

The Naked Truth may refuse registration, request verification, suspend access or close an account where information is inaccurate, incomplete, fraudulent, misleading, unlawful or creates legal, financial, technical or reputational risk.

5. Subscription Model, Prices and Access

The Platform may offer subscriptions for one Profile, multiple Profiles, packages, channels, digital content, support features or other paid services. A subscription gives access during the paid period; it does not transfer ownership of content and does not grant a right to download, copy, record, redistribute, retransmit or resell content.

Plans may include monthly subscriptions, six-month plans under the “get 6 months, pay for 5 months” model, annual plans under the “get 12 months, pay for 9 months” model, promotional offers, trials or other plans approved by the Platform.

No standard monthly Creator Profile price should be below 3 euro, except for temporary promotions, free trials, limited offers or special arrangements approved by The Naked Truth.

Prices, billing periods, renewal rules, taxes, fees and important payment conditions should be displayed before payment where technically and legally required.

6. Payments, Renewal, Cancellation and Refunds

Payments from subscribers may be processed through Stripe or other licensed payment processors integrated by The Naked Truth. The Naked Truth does not store full payment card details.

Subscriptions may renew automatically where this is clearly disclosed before purchase. Users are responsible for cancelling before the renewal date if they do not want the subscription to renew.

Cancellation stops future renewals but does not automatically generate a refund for the current paid period. The subscriber usually keeps access until the end of the paid period unless access is suspended or terminated for breach of these Terms, Platform policies or applicable law.

Refunds, chargebacks, reversals, duplicate charges, unauthorized payments, technical issues and voluntary remedies are governed by the Refund & Cancellation Policy and Payment & Payout Policy. Nothing in these Terms limits mandatory consumer rights required by applicable law.

7. Digital Access and Restrictions

Because the Platform provides digital content and digital services, access may begin immediately after successful payment. Where applicable law requires express consent or acknowledgment for immediate supply of digital content or service during a withdrawal period, the Platform may request such confirmation at checkout.

• You may access content only through the official Platform functions or other means expressly authorized by The Naked Truth.
• You may not copy, download, screen-record, scrape, reproduce, distribute, retransmit, resell, modify, remove watermarks or logos, circumvent technical measures or make content available outside the Platform unless expressly authorized in writing.
• You may not use bots, scrapers, automated harvesting, credential sharing, stolen payment methods, VPN/proxy abuse, security interference, fraudulent engagement, spam, harassment, unlawful solicitation or any other abusive or illegal conduct.

8. Content Rules and Prohibited Content

All users and creators must comply with the Content Policy, these Terms, applicable law and the rights of third parties. The Naked Truth may moderate, restrict, label, demonetize, remove or disable content where required or reasonably necessary.

• The Platform does not allow pornography, sexually explicit content, commercial erotica, adult services, sexual deepfakes without consent, sexual violence content or any material that sexualizes, exploits or involves minors.
• The Platform prohibits illegal content, terrorism support, serious threats, doxxing, fraud, scams, malware, hate or harassment, incitement to violence, unlawful weapons promotion, copyright infringement, misleading health/financial/legal claims, and manipulation or pressure toward minors or vulnerable persons.
• Policies concerning minors, sexuality, body, identity, health, biological or medical interventions apply neutrally to every ideology, movement, belief, group, community, commercial entity and creator, without discrimination or favoritism.

9. Intellectual Property of The Naked Truth

The Platform, brand, name, design, interface, software, architecture, databases, graphics, system, logo elements, official editorial materials and all content produced, purchased, commissioned or licensed directly by The Naked Truth are owned or controlled by The Naked Truth or its licensors.

No user receives ownership of the Platform, brand, software, systems, design, databases, business model, official editorial profile or proprietary technology by using the Platform.

10. Ownership of Creator Content and License to the Platform

Creators retain ownership of their Creator Content. The Naked Truth does not purchase the Creator Content and does not become its owner merely because it is published, hosted, monetized or distributed through the Platform.

By publishing Creator Content, the Creator grants The Naked Truth a limited, non-exclusive, worldwide, operational license to host, store, transcode, encode, adapt technically, display, stream, promote in limited Platform-related contexts, monetize, make available to subscribers, process for moderation/security and perform other technical or administrative acts necessary for operating the Platform.

This license is not a transfer of ownership. It is limited to what is necessary to operate the Platform, fulfill subscriptions, process payments, support subscribers, manage refunds/chargebacks, handle legal claims and comply with applicable law.

The Creator remains responsible for all rights, permissions, releases, licenses and authorizations required for the content, including music, images, footage, archives, trademarks, privacy, likeness and third-party rights.

11. Copyright Complaints and Notice-and-Takedown

The Naked Truth respects copyright and related rights. Rights holders may submit a notice identifying the allegedly infringing material, the protected work, the location of the material, their contact details, a good-faith statement and a declaration that the information is accurate and that they are authorized to act.

The Naked Truth may remove, disable, restrict, monetize-hold or investigate content that is alleged to infringe rights. A creator may submit a counter-notice or explanation where permitted by law and Platform procedures.

Repeated infringement, fraudulent notices, abusive counter-notices or serious IP risk may lead to account suspension, Profile termination, payout holds, reserves, offsets or other lawful measures.

12. Creators, Verification and Payouts

Creators are independent from The Naked Truth and are responsible for their content, activity, tax obligations, third-party relationships and legal compliance. The Creator Partner Program Agreement governs the specific publication, monetization and disbursement relationship.

The Naked Truth may require identity, business, tax, banking and payment verification before activating monetization or making disbursements. Refusal, incomplete information, inaccurate data or failed verification may lead to refusal or suspension of monetization and payments.

Unless otherwise agreed in writing, the standard revenue share is 70% to the Creator and 30% to The Naked Truth of the Net Shareable Value. Creator disbursements are normally made 30-45 days after the end of the calendar month, subject to verification, minimum payout threshold, open risks, refunds, chargebacks, reserves, deductions and applicable law.

The minimum payout threshold is 100 euro or equivalent. Amounts below the threshold may remain accumulated until the threshold is reached, subject to the Payment & Payout Policy.

13. Deletion of Creator Content, Profile Closure and Payment Holds

Creators may manage ordinary content in accordance with the Platform tools and agreements. However, deletion, disabling or withdrawal of premium content, archives, full episodes, core materials or substantial parts of a paid Profile may affect subscribers and create refund or chargeback risk.

If a Creator deletes, disables, removes, empties or materially reduces paid content in a way that harms subscribers or the service sold, The Naked Truth may hold, delay, reserve, offset, deduct or suspend payouts, restrict monetization, suspend the Profile or take other measures under the Creator Partner Program Agreement and Payment & Payout Policy.

If a Creator wishes to close a Profile, stop publishing or withdraw content, the Creator must follow the notice and sunset process set out in the Creator Partner Program Agreement. The Naked Truth may stop new subscriptions while preserving existing subscriber access where technically, legally and contractually possible.

14. Personal Data, Cookies and Third-Party Services

Personal data is processed under the Privacy Policy and Cookie Policy. The Naked Truth applies reasonable technical and organizational measures, but does not guarantee absolute security against every technological risk.

Third-party services may include Stripe, Paysera, Google, Facebook/Meta, hosting providers, analytics tools, email systems, anti-fraud tools, video delivery systems and other providers. Their own terms and privacy policies may apply.

15. Territorial Restrictions and Mainland China Exclusion

The Platform may be made available globally where technically and legally possible. The Naked Truth does not operate in, target, market to or authorize use from Mainland China unless expressly changed in writing by the Platform.

Users may not use VPNs, proxies, spoofing, false location data or other means to circumvent territorial restrictions, licensing rules, payment restrictions, sanctions, legal limitations or security controls.

16. Service Availability and Changes

The Platform may change, add, remove, suspend or discontinue features, Profiles, payment methods, content categories, plans or services for legal, technical, security, operational, commercial or editorial reasons.

The Naked Truth does not guarantee uninterrupted, error-free or permanent availability of the Platform or any specific content. Technical incidents, maintenance, third-party failures, payment processor issues, creator actions, legal claims or force majeure may affect access.

17. Limitation of Liability and Indemnification

To the maximum extent permitted by applicable law, the Platform is provided “as is” and “as available”. The Naked Truth does not guarantee that all content will be accurate, complete, available, suitable for every user or free from errors.

To the maximum extent permitted by applicable law, The Naked Truth is not liable for indirect, incidental, consequential, punitive or special damages, loss of profits, loss of data, loss of business opportunity, reputational damage, unauthorized user conduct, creator content, third-party services, payment processor delays or content unavailability.

Users and creators agree to indemnify and hold The Naked Truth harmless from claims, damages, losses, liabilities, costs and expenses arising from their content, unlawful conduct, breach of these Terms, breach of third-party rights, fraud, tax failures, payment disputes or misuse of the Platform, to the extent permitted by law.

18. Suspension, Termination and Appeals

The Naked Truth may suspend, restrict, demonetize, remove content, hold payments or terminate access where a user or creator breaches these Terms, violates Platform policies, creates legal/financial/security risk, infringes rights, uses fraudulent payments, abuses refunds/chargebacks or where required by law or competent authorities.

Where reasonably possible and legally appropriate, The Naked Truth may provide notice of the reason for suspension or termination. Notice may be withheld where it would violate law, compromise an investigation, expose security systems, increase risk or harm users, third parties or the Platform.

Where technically and legally possible, users and creators may request review or appeal of certain moderation, suspension or termination decisions through the contact channels or Platform procedures made available.

19. Governing Law, Jurisdiction and Language Versions

These Terms are governed by the laws of the Republic of Albania, without prejudice to mandatory consumer protections or mandatory rules that may apply in other jurisdictions.

Unless mandatory law provides otherwise, disputes shall be submitted to the competent courts of Tirana, Albania.

These Terms may be published in Albanian, English and other languages. In case of inconsistency, the Albanian version may prevail for the Albanian operator, unless the Platform states otherwise for a specific transaction, territory or agreement.
